1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the KinaBooks accounting and compliance platform ("Service"), operated by KinaBooks ("we", "us", "our"). By registering for or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Eligibility & Accounts
You must be at least 18 years old and authorised to act on behalf of your organisation to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
3. Subscriptions & Billing
The Service is offered on subscription tiers billed in Papua New Guinea Kina (PGK). Fees are charged in advance and are non-refundable except where required by law. We may change pricing with notice; changes do not affect your current billing period. Failure to pay may result in suspension or cancellation of your account.
4. Trials, Promotions & Coupons
We may offer free trials, promotional discounts, and single-use coupon codes. These are subject to their stated terms and durations, may only be redeemed by an organisation owner or company administrator, and may be withdrawn or modified at our discretion. Only one active discount may apply per organisation.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not misuse the Service, attempt to gain unauthorised access, interfere with its operation, upload malicious code, or use it to store or transmit unlawful, fraudulent, or infringing content.
6. Your Data & Records
You retain ownership of the financial, payroll, and business data you enter into the Service. You are responsible for the accuracy and legality of that data and for maintaining your own backups where appropriate. We process your data in accordance with our Privacy Policy.
7. Compliance & Professional Advice
KinaBooks provides tools to assist with IRC, IPA, BPNG, and DLIR reporting obligations, but it is not a substitute for professional accounting, tax, or legal advice. You remain solely responsible for the accuracy and timely lodgement of your statutory returns and payments. We are not liable for penalties arising from your filings.
8. Service Availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications, and may temporarily suspend the Service where necessary. Features may change over time.
9. Intellectual Property
The Service, including its software, design, and content (excluding your data), is owned by KinaBooks and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription.
10. Suspension & Termination
You may cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service unlawfully. On termination, your right to use the Service ceases; we may retain or delete your data in accordance with our Privacy Policy and applicable record-keeping obligations.
11. Limitation of Liability
To the maximum extent permitted by law, KinaBooks is not liable for any indirect, incidental, or consequential losses, or for loss of profits, revenue, data, or goodwill. Our total liability arising from the Service is limited to the fees you paid in the twelve months preceding the claim.
12. Indemnity
You agree to indemnify and hold KinaBooks harmless from any claims, losses, or expenses arising from your use of the Service, your data, or your breach of these Terms or applicable law.
13. Governing Law
These Terms are governed by the laws of the Independent State of Papua New Guinea. Any disputes will be subject to the exclusive jurisdiction of the courts of Papua New Guinea.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the platform. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
